MaidPro^® “Fall Refresh Clean Home Contest”

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO PARTICIPATE OR WIN A PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID OUTSIDE THE ELIGIBILITY AREA AND WHEREVER PROHIBITED OR RESTRICTED BY LAW.

1. Contest. Enter a random drawing to win one year of cleaning services by a participating MaidPro® franchise location at the residence designated on the entry form ("Designated Residence"), provided it is within the Residential Eligibility Area, defined below ("Contest"). Contest is subject to all applicable federal, state, provincial and local laws.
2. Entry Period. The Contest begins on August 15, 2023 at 12:01 a.m. and ends on September 15, 2023 at 11:59 p.m (eastern time). ("Entry Period"). All entries must be received by the Sponsor during the Entry Period. Sponsor's database clock will be the official timekeeper for this Contest.
   
3. Sponsor. Sponsor is MaidPro Franchise, LLC, a Massachusetts limited liability company with a principal place of business at 77 North Washington Street, Boston, MA, 02114 ("Sponsor").
   
4. Eligibility. Contest is open to residents of the United States (including Washington, D.C. and any territory of the Unites States) and Canada (excluding Quebec) ("Eligibility Area") during the Entry Period and Prize Year who is (i) at least 18 years of age, and (ii) owns or occupies a legal residence with a residential address ("Designated Residence") within an owned zip code territory of the business address of a MaidPro® franchise that is open and operating during the Entry Period ("Residential Eligibility Area"). All employees, managers, officers, directors, agents and representatives of Sponsor, its related companies (including, without limitation, its parent, sister, affiliated and subsidiary companies), franchisees, suppliers of materials or services related to the Contest and other parties in any way involved in the development or administration of this Contest (including advertising and promotion agencies, or public relations agencies), and Household Members and Immediate Family Members of all such employees, managers, officers, directors, agents and representatives are ineligible to participate in the Contest. "Household Members" shall mean those people who share the same residence at least three months a year. "Immediate Family Members" shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, and spouses, including common law. Sponsor shall have the sole right to accept or reject any entry based on these eligibility requirements. Groups, associations and legal entities cannot participate.
   
5. How to Enter. To enter, visit the Contest website at www.maidpro.com/contest and complete all fields on the entry form, including the full address with zip or postal code of the Designated Residence where the Prize described in Section 7 is proposed to be redeemed if you are selected and confirmed as a winner. Sponsor reserves the right, in its sole and absolute discretion, to determine whether an entry form has been properly completed and entered the Contest and to reject any entry for failing to comply with these requirements. By entering, entrants agree that they have read and understood these Official Rules and agree to be bound by them and the decisions of the Sponsor, which are final and binding on all matters relating to this Contest, including the interpretation of the Official Rules. Only one entry per person and per Designated Residence.
   
6. Prizes. There are two prizes available to be won, each consisting of one house cleaning service appointment per month for one calendar year starting no later than October 30, 2023 and ending on October 30, 2024. Prize winners can work with their local MaidPro® franchise location to schedule the cleaning service appointments, which may be scheduled more frequently than once per calendar month but may not exceed twelve service appointments in the calendar year. Each service appointment is a maximum of 5 hours of cleaning service time. Approximate Retail Value: $3,480 USD. The AVR represents Sponsor's good faith determination, which is final and binding and cannot be appealed. If the actual value of the prize turns out to be less than the AVR, the difference will not be awarded in cash. Only one Prize per Designated Residence. If both selected entrants are from the same Designated Residence, only one Prize will be awarded to the residents of the Designated Residence, and other Prize will be awarded to an alternate entrant.
   
7. Additional Prize Restrictions/Conditions. The prize restrictions/conditions stated herein are not all-inclusive and Sponsor reserves the right, in its sole and absolute discretion, to add restrictions/conditions as it deems necessary.
   
   Sponsor is not responsible if the prize or portion of the prize (cleaning appointment) is delayed, postponed, or cancelled for any reason, including for example, due to illness of the cleaner, in which event, that portion of the prize is forfeited in its entirety and no substitution will be provided except as in Sponsor's sole discretion.
   
   All federal, state, provincial and other tax liabilities arising from accepting a prize in this Contest are the sole responsibility of the winner. Winners residing in the United States will receive appropriate tax documents (including Form 1099 or other as required) at the end of the tax year in which they accepted the prize for the actual value of the prize awarded.
   
   No transfer, substitution or cash equivalent for any prize, in whole or in part, will be permitted, except as stated herein. Sponsor reserves the right to substitute all or a component of the prize if it cannot be awarded as described. Prizes are awarded "as is" with no warranty or guarantee, either express or implied. Prizes cannot be redeemed for cash. All prize details are at Sponsor's sole discretion.
8. Random Draw. A random draw will be conducted at Sponsor's business address on or about September 20, 2023. The odds of winning depend on the number of entries received during the Entry Period.
   
9. Notification and Prize Winner Confirmation: Selected entrants will be notified of by email. Selected entrants are not official winners unless and until Sponsor confirms such. To be confirmed as winners, each selected entrant must:
1. Respond within three (3) business days from the date of the first notification being sent or made by Sponsor;
2. Provide proof of address of the Designated Residence in the form required by Sponsor so that Sponsor may confirm it is within a Residential Eligibility Area;
3. Execute and return to Sponsor, within the time and manner specified by Sponsor, an Declaration of Compliance with Contest Rules and Liability/Publicity Release (where lawful) (the "Prize Claim Documents"),
   
4. If the selected entrant is from Canada, correctly answer, without assistance of any kind, whether mechanical or otherwise, a mathematical skill-testing question to be administered by phone or email;
   
5. Otherwise comply with these Official Rules.
   
   If, in any instance, notification attempt(s) for a potential winners fail for any reason, or if selected entrants are found to have not complied with these Official Rules, fails to return any of the requested documents within the timeframe provided, or in the case of a selected entrant from Canada fails to answer the skill-testing question correctly, or cannot accept the prize for any reason, the applicable Prize will be forfeited and the Prize awarded to an alternate entrant subject to confirmation.
   
   Once selected entrants are confirmed as winners, they will be provided with contact information for the MaidPro franchise that will provide the first free cleaning prize no later than October 30, 2023. Winners will receive instructions in the notification email for accepting the Prize and must accept the Prize in accordance with the proffered instructions no later than September 27, 2023. Any winner who fails to accept the Prize on time and in accordance with the instructions, for any reason, may forfeit their Prize. Sponsor reserves the right to select a substitute winner if any winner fails to accept the Prize. Sponsor is not responsible for any delay or failure to receive notification for any reason, including inactive email account(s), technical difficulties associated therewith, or winner's failure to adequately monitor any email account. Upon receipt of winner's acceptance, Sponsor will notify the winner of the contact information for the MaidPro franchise location at which the Prize can be redeemed. All Prizes must be redeemed and all cleaning services performed no later than October 30, 2024.
   
10. Privacy. Any personal information supplied by you will be subject to the privacy policy. By entering the Contest, you grant Sponsor permission to share your email address and any other personally identifiable information with Sponsor's franchisees for the purpose of administration and prize fulfillment, and disclosing the Winners list.
    
11. Disqualification/Unsportsmanlike Conduct. Noncompliance with any of these Official Rules may result in disqualification. ANY VIOLATION OF THESE OFFICIAL RULES BY ENTRANTS OR WINNERS OR ANY BEHAVIOR BY A WINNER THAT WILL BRING SUCH WINNER OR SPONSOR INTO DISREPUTE (IN SPONSOR'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION FROM THE CONTEST AND FORFEITURE OF ANY PRIZE. Sponsor reserves the right in its sole discretion to disqualify any individual (and void all associated Entries) is suspects or finds: (i) to have tampered with the entry process or the operation of this Contest, (ii) to be acting in violation of these Official Rules, (iii) to be acting in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten or harass any other persons; or (iv) to have provided any inaccurate information on any legal documents submitted in connection with this Contest. CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR APPLICATION ASSOCIATED WITH THIS CONTEST OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
    
12. Release of Liability. Sponsor, its related companies (including, without limitation, any parent, sister, affiliated and subsidiary companies), franchisees, suppliers of materials or services related to the Contest and other parties in any way involved in the development or administration of this Contest (including advertising, promotional and public relations agencies), and all of their respective employees, directors, officers, shareholders, agents, representatives, partners, licensees, successors and assigns (collectively the "Released Parties") assume no responsibility for incorrect or inaccurate Entry information whether caused by any of the equipment or programming associated with or utilized in this Contest or by any human error, which may occur in the processing of the Entries in this Contest. Released Parties are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or other services, or providers, computer equipment, software, failure of any email due to technical problems or traffic congestions on the Internet or at any website, or any combination thereof, including, without limitation, any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Contest or for other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing of Entries, the announcement of prizes, fulfillment of prizes or in any Contest-related materials. All interpretations of these Official Rules and decisions by Sponsor are final.
    
    Entrants agree that the Released Parties (a) shall not be responsible or liable for, and hereby release the Released Parties from, any claims, losses, damages or injuries of any kind (including death) resulting, in whole or in part, directly or indirectly, from participation in the Contest or any Contest-related activity, or from acceptance, receipt, possession and/or use/misuse or inability to use the prize, and (b) have not made any warranty, representation or guarantee, express or implied, in fact or in law, with respect to the prize, including, without limitation, to such prize's quality or fitness for a particular purpose.
    
    Released parties shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused or contributed to (1) by any wrongful, negligent or unauthorized act or omission on the party of any of their agents, servants, employees or independent contractors; (2) by any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not by an employee of the Released Parties; or (3) by any other cause, condition or event whatsoever beyond the control of the Released Parties.
    
13. Non-Waiver. Failure of Sponsor to enforce any provision of these Official Rules shall not be deemed a waiver of such provision.
    
14. Modification to Official Rules/Modification, Suspension and/or Termination of Contest. Sponsor reserves the right, in its sole discretion, to modify these Official Rules at any time and for any reason without prior individual notice. Sponsor further reserves the right, in its sole discretion to modify, cancel, suspend, or terminate the Contest for any reason. Without limiting the generality of the foregoing, if, for any reason, the Contest is not capable of running as planned or as contemplated by these Official Rules, including, without limitation, due to infection by computer virus, tampering, unauthorized intervention, fraud, technical failure, or any other cause beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, the Sponsor reserves the right in its sole discretion to cancel, terminate, modify or suspend the Contest. Should the Contest be terminated prior to the stated end of the Contest, notice will be posted where Sponsor deems fit and the prizes will not be awarded. In such event, Sponsor reserves the right to award the prizes at random from among the eligible Entries received throughout the Contest Period and overall, up to the time of the impairment.
    
15. Severability. If any part of these Official Rules is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty and liability disclaimers set forth herein, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and these Official Rules shall continue in effect.
    
16. Governing Law/Venue/Arbitration/Class Action Waiver/Limitation of Liability: TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE CONTEST IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE COMMONWEATLH OF MASSACHUSETTS, AND THE MASSACHUSETTS COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE CONTEST. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS. THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN MASSACHUSETTS. TO THE EXTENT PERMITTED BY APPLICABLE LAW, IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION, IN ACCORDANCE WITH ITS RULES. THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN MASSACHUSETTS OR NEW YORK. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTING IN THE SUFFOLK COUNTY OF MASSACHUSETTS. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL OR INCIDENTAL DAMAGES, INCLUDING ATTORNEYS' FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF. IN NO EVENT SHALL SPONSOR BE LIABLE TO ANY ENTRANT OR WINNER FOR DAMAGES THAT EXCEED THE VALUE OF THE PRIZES TO BE AWARDED TO AN INDIVIDUAL ENTRANT IN THIS CONTEST. TO THE EXTENT PERMITTED BY APPLICABLE LAW, ENTRANTS AGREE THAT ANY AND ALL DISPUTES CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS CONTEST SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION.
    
17. Request for the Names of the Winners and/or Official Rules: For the names of the winners, available after the Contest Period has ended, or a copy of the Official Rules, send a self-addressed stamped envelope to MaidPro Franchise, LLC, 77 North Washington Street, Boston, MA 02114. Please note on the outer envelope if you are requesting the Names of the Winners or the Official Rules. A copy of the Official Rules and the name's of prize winners will be posted on the Contest's official website.
